AZ Capital has acted as financial advisor to Árima Real Estate in the takeover bid launched by JSS Real Estate, an entity belonging to the Swiss financial group J. Safra Sarasin. For this purpose, AZ Capital has prepared a fairness opinion for Árima's board of directors, strictly from a financial point of view, on which it stated that the offer is fair for Árima's shareholders.

JSS Real Estate's offer consisted on a cash payment of €8.61 per share, representing an equity value of €224m.

Árima is a Socimi (REIT) with 9 assets, being 2 of them under construction, 8 of which are offices and 1 is a logistic asset, all of them in Madrid. The total asset value (GAV) is ~€355m (as of June 2024).

AZ Capital ha actuado como asesor financiero a Árima Real Estate en la oferta pública de adquisición lanzada por JSS Real Estate, entidad del grupo financiero suizo J. Safra Sarasin. Para ello, AZ Capital ha preparado una fairness opinion para el consejo de administración de Árima, estrictamente desde un punto de vista financiero, sobre la cual se declaró que la oferta es justa para los inversores de Árima.

La oferta de JSS Real Estate fue de un pago en caja de €8.61 por acción, representando un equity value de €224m.

Advisor to Phoenix Towers International in the acquisition of 100% of Cellnex’s business in Ireland for c.€971 MM. 

The transaction will expand Phoenix Tower International's Irish business by adding approximately 1,700 mobile telecom sites and approximately 200 land locations that accommodate third-party wireless sites. 

The acquisition highlights Phoenix Tower International's dedication to promoting development in Ireland and bolstering the nation's telecommunications infrastructure. This strategic deal is positioned to deliver significant advantages to the Irish population and Mobile Network Operators (MNOs) present in the country.

La transacción ampliará el negocio irlandés de Phoenix Tower International al añadir aproximadamente 1.700 emplazamientos de telecomunicaciones móviles y unos 200 terrenos que albergan emplazamientos inalámbricos de terceros. 

La adquisición pone de relieve la determinación de Phoenix Tower International de promover el desarrollo en Irlanda y reforzar la infraestructura de telecomunicaciones del país. AZ Capital has advised Werfen, one of the leading global players in specialized diagnostics, on the sale of their medical and scientific instrumentation distribution businesses in Spain and Portugal to Palex.
The sale includes Izasa Medical, Izasa Scientific, and MC Medical. Together, these companies represented 7% of Werfen’s total sales in 2023.
This divestiture will enable Werfen to focus on specialized diagnostics, its core business. For Palex, the acquisition is an opportunity to reinforce their position as a premier Pan-European platform in Medical Devices and Life Sciences.


AZ Capital ha asesorado a Werfen, uno de los principales actores globales en diagnóstico especializado, en la venta de sus negocios de distribución de instrumentación médica y científica en España y Portugal a Palex.
La venta incluye Izasa Medical, Izasa Scientific y MC Medical. Las tres empresas representaron el 7% de las ventas totales de Werfen en 2023.
Esta desinversión permitirá a Werfen centrarse en el diagnóstico especializado, su negocio principal. Para Palex, la adquisición es una oportunidad para reforzar su posición como una plataforma paneuropea de primer nivel en dispositivos médicos y ciencias de la vida.

AZ Capital has advised HT Médica, one of the leading Spanish providers in radiology and diagnostic imaging services, on the sale of a majority stake to Fremman Capital.
The Health Time group comprises a set of subsidiaries managing each of its 22 centers (20 diagnostic imaging and 2 laboratories), located throughout Jaén, Córdoba, Granada, Cádiz, Almería, Huelva, Seville, Asturias, Ávila (its first center in Castilla y León, inaugurated last October) and Ciudad Real. Since September 2022, HT Médica has been the brand replacing all its other banners (Sercosa, Ressalta, Dadisa, Cimar, Cedico, Millenium, etc.).
Out of its 22 centers, there are 11 units located within hospital complexes and other spaces. In addition to these centers, the group has specialized imaging units for prostate, women's health, heart, medical 3D printing, and pediatric imaging.
