After conducting an initial analysis and evaluating potential alternatives along with their respective pros and cons, a Sale Cash-Settled Equity Swap was structured:
•	The accounting analysis and discussions with auditors confirmed the positive impact under IFRS 32 regulations.
•	To prevent any potential pressure on the stock price, the delta execution (company sale + bank acquisition) was designed as an off-market disposal.
•	AZ Capital engaged with three financial institutions to secure the most competitive terms, including 100% LTV, a reduced spread, and no margin calls throughout the life of the transaction.

Through this solution, the company achieves:
•	A positive cash impact.
•	A favorable accounting impact (reduction in net debt and an increase in equity).
•	Retention of economic exposure to the stock price performance.

Tras realizar un análisis inicial y evaluar las potenciales alternativas junto con sus respectivos pros y contras, se estructuró un Sale Cash-Settled Equity Swap 
•	El análisis contable y las discusiones con los auditores confirmaron el impacto positivo bajo la normativa IFRS 32.
•	Para evitar cualquier posible presión sobre el precio de la acción, la ejecución delta (venta por parte de la empresa + compra por parte del banco) se diseñó como una disposición fuera de mercado.
•	AZ Capital contactó a tres instituciones financieras para garantizar las condiciones más competitivas, incluyendo un LTV del 100%, un spread reducido y ausencia de margin calls a lo largo de la vida de la transacción
A través de esta solución, la empresa logra:
•	Un impacto positivo en caja.
•	Un impacto contable favorable (disminución de la deuda neta y mayor patrimonio)
•	Mantener la exposición económica al comportamiento del precio de las acciones.

BCNonwovens is one of Europe's leading manufacturers of spunlace technology products based in Barcelona, Spain. Its main markets are fast-moving consumer goods (FMCG), such as wet wipes and toiletries, the medical sector and speciality products.


AZ Capital ha asesorado a BCNonwovens en la adquisición del 100% de Atex Inc.
Esta transacción supone la entrada de BCNonwovens en el creciente mercado americano, con una plataforma estratégica que permita realizar futuras inversiones y sirviendo de cabeza de puente a la expansión internacional del grupo en los próximos años.

BCNonwovens es uno de los principales fabricantes europeos de productos en tecnología spunlace con sede en Barcelona (España). AZ Capital has acted as financial advisor to Árima Real Estate in the takeover bid launched by JSS Real Estate, an entity belonging to the Swiss financial group J. Safra Sarasin. For this purpose, AZ Capital has prepared a fairness opinion for Árima's board of directors, strictly from a financial point of view, on which it stated that the offer is fair for Árima's shareholders.

JSS Real Estate's offer consisted on a cash payment of €8.61 per share, representing an equity value of €224m.

Árima is a Socimi (REIT) with 9 assets, being 2 of them under construction, 8 of which are offices and 1 is a logistic asset, all of them in Madrid. The total asset value (GAV) is ~€355m (as of June 2024).

AZ Capital ha actuado como asesor financiero a Árima Real Estate en la oferta pública de adquisición lanzada por JSS Real Estate, entidad del grupo financiero suizo J. Safra Sarasin. Para ello, AZ Capital ha preparado una fairness opinion para el consejo de administración de Árima, estrictamente desde un punto de vista financiero, sobre la cual se declaró que la oferta es justa para los inversores de Árima.

AZ Capital, jointly with Morgan Stanley, has been the financial advisor of Grupo Lar on the takeover bid over Lar España by the consortium formed by Grupo Lar and Hines. 

The Tender Offer entails a 100% cash payment for €8,1 per share, which represents (i) a premium of ~16% over the last closing price, (ii) a premium of ~17% over the L1M VWAP and (iii) a premium of ~25% over the L6M VWAP. The total offer represents a valuation of Lar España’s equity of ~€678m

Lar España Real Estate SOCIMI is a Spanish real estate investment company focused mainly on retail properties, which include 9 shopping centers and 3 retail parks in Spain.

AZ Capital, junto con Morgan Stanley, ha sido el asesor financiero de Grupo Lar en la OPA sobre Lar España, lanzada por el consorcio formado por Grupo Lar y Hines.
